Ngenda Drilling Solutions is a registered subsidiary of Ngenda Group of Company, headquartered at NHC House, Mezzanine Floor MZ 26, Plot No. 43/52 Samora Avenue, P.O. Box 15044, Dar Es Salaam, Tanzania. All services are provided under the governance and management structure of Ngenda Group of Company, led by CEO and Founder Lutalo Godwin.

Ngenda Drilling Solutions reserves the right to amend, update, or revise these Terms and Conditions at any time without prior notice. Clients are encouraged to review these terms regularly. Continued engagement of our services following any amendments shall constitute acceptance of the revised terms.

All project information, geological data, site reports, client details, and business communications shared with Ngenda Drilling Solutions shall be treated with strict confidentiality. We do not disclose client information to third parties without prior written consent, except where required by law or regulatory authorities in Tanzania.

These Terms and Conditions are governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from the provision of services by Ngenda Drilling Solutions shall be subject to the exclusive jurisdiction of the competent courts of Tanzania.

The client is responsible for providing accurate site information, granting lawful access to the project site, obtaining all required permits and regulatory approvals before drilling commences, and ensuring that the site is free from undisclosed underground utilities, structures, or hazards. Ngenda Drilling Solutions shall not be held liable for any damages arising from incomplete or inaccurate information provided by the client.

Ngenda Drilling Solutions commits to delivering every project within the agreed timeline. However, delays caused by unforeseen geological conditions, adverse weather, client-side issues, permit delays, or force majeure events shall not constitute a breach of contract. In such cases, the parties shall agree in writing on a revised project schedule at no additional penalty to either party.

Ngenda Drilling Solutions shall not be held liable for indirect, incidental, or consequential losses arising from drilling operations, including but not limited to unsuccessful boreholes due to unfavourable geological conditions, damage to underground structures not disclosed by the client, or project delays beyond our reasonable control. Our total liability in any case shall not exceed the value of the contracted project fee.

Ngenda Drilling Solutions is committed to environmentally responsible drilling practices. We minimize waste, properly dispose of drilling cuttings and fluids, and rehabilitate all disturbed areas upon project completion. Clients must not instruct our team to carry out activities that contravene Tanzania's environmental protection laws and regulations. We reserve the right to halt operations if environmental compliance cannot be maintained.

All drilling equipment deployed by Ngenda Drilling Solutions is regularly inspected and maintained to the highest operational standards. Our personnel are fully certified and trained in drilling safety procedures. Any wilful damage to our equipment or personnel on site by the client or third parties will result in immediate suspension of services and the client shall bear full costs of repair or replacement.

A deposit of not less than 50% of the total project value is required before mobilization of any drilling equipment or personnel to the project site. The remaining balance is due upon project completion and before the final project report and documentation are handed over to the client. Ngenda Drilling Solutions reserves the right to suspend or terminate services in the event of non-payment.

Ngenda Drilling Solutions operates with full transparency in all financial dealings. All costs, charges, and project expenses are clearly communicated and agreed upon before any work commences. There are no hidden charges on any project. Should additional work be required beyond the original scope, a written variation order will be issued and must be approved by the client before proceeding.

Should a client wish to cancel a confirmed project, written notice must be provided to Ngenda Drilling Solutions at least 7 working days before the scheduled mobilization date. Cancellations made within 7 working days of mobilization may be subject to cancellation fees to cover equipment preparation, personnel deployment costs, and administrative expenses already incurred. The specific cancellation terms will be outlined in the project contract.
